The session will also cover key differences between transactions involving strategic or financial investors, the challenges facing buyers making outbound acquisitions, and the impact of increasing regulatory costs. The perception of corruption in Latin America is demonstrated by the region’s rankings in the Transparency International Corruption Index. Recent investigations and enforcement actions by the US Department of Justice (responsible for the application of the Foreign Corrupt Practices Act) against Latin American companies and individuals in addition to local enforcement, new anti-corruption legislation in many countries, and multi-jurisdictional collaboration among government agencies give this topic current prominence. Attorneys working in-house or in law firms must constantly improve their skills to ensure competent support on issues related to anticorruption. These include understanding the legislative and regulatory landscape, supporting clients’ compliance efforts and ensuring the proper investigations and defence of companies if the need arises. This panel will address the most pressing issues on anti-corruption which face Latin American practitioners today. Conference luncheon sponsor 1200 – 1215 Coffee/tea break 1215 – 1330 SIMULTANEOUS SESSIONS SESSION THREE Infrastructure challenges in Latin America: PPPs Latin American countries have recently approved ambitious infrastructure programmes and legal frameworks to funnel the massive amounts of investment needed to improve the region’s infrastructure, mainly through PPP schemes. This presents an extraordinary challenge for both the public and private sector to design, contract, finance and execute a large number of PPPs in a relatively short space of time. This session will include participation from Latin American infrastructure legal experts who will focus on current trends and opportunities, leading sectors and challenges. Session Co-Chairs Juan Carlos de los Heros Estudio Echecopar, Lima; Committees Liaison and Communications Officer, IBA Latin American Regional Forum Carlos Umaña Brigard & Urrutia, Bogota Speakers Gonzalo Delaveau Aninat Schwencke & Cia, Santiago; Regional Representative, IBA Water Law Committee Margarita Oliva Sainz de Aja Chadbourne & Parke, New York Hernan Pacheco Pacheco Coto, San Jose Ignacio Paz Herbert Smith Freehills, Madrid Jorge Sere PricewaterhouseCoopers – Capital Projects & Infrastructure Division, Montevideo SESSION FOUR Antitrust In recent years, Latin American countries have experienced rapid development and increasing sophistication in competition law enforcement. This panel will discuss the main subjects that usually arise for competition practitioners. From a litigation approach, the discussion will focus on private enforcement of competition laws (including damages claims) and application and effectiveness of the leniency programs and other cartel enforcement measures recently included in Latin American legislation. From a transactional approach, the discussion will be focused on the problems arising from merger control, especially on cross-border transactions. This will include: • current lending and capital markets developments and trends; • debt funds; • project bonds; • equity issuance; • the relevant role that private pension funds and institutional investors are playing as a source of financing; • the important support of export credit agencies (ECA) and multilaterals; • the increasing participation of Latin American banks in cross-border transactions within the region; • the continuing expansion of regional financial services providers; • the impact of well-capitalised banking sectors; and • the regulations that make that possible. Session Co-Chairs Francisco Javier Illanes Cariola Diez Perez-Cotapos & Cia, Santiago Ricardo Veirano Veirano Advogados, São Paulo; Senior Vice-Chair, IBA Latin American Regional Forum Speakers Eduardo Barbieri General Manager, Bolsa Electronica de Valores del Uruguay, Montevideo Andres Cerisola Elisabeth Eljuri Norton Rose Fulbright, Caracas; Secretary, IBA Oil and Gas Law Committee Cathleen McLaughlin Allen & Overy, New York Alberto Rebaza Rebaza Alcazar & De Las Casas Abogados, Lima Eduardo Rodriguez-Rovira Uria Menendez, Madrid SESSION SIX Renewable energy: overview of the current situation in the region and its impact on the energy matrix Renewable energy is becoming a hot topic around the world and it’s easy to see why. It reduces pollution, global warming and dependence on oilproducing countries as well as creating a more economically stable world due to reduced fluctuation in oil prices. The use of renewable energy requires a set of new rules and legislation that create a framework for correct implementation. This session will give the participants an overview on how renewable energy resources are being treated in different countries within the region. Conference supporters Session Co-Chairs Pablo Javier Alliani Alliani & Bruzzon Abogados, Buenos Aires; Chair, IBA Energy, Environment, Natural Resources and Infrastructure Law Section Eugenio Hurtado-Segovia Ramirez Gutierrez-Azpe Rodriguez-Rivero y Hurtado, Mexico City; Vice-Chair, IBA Latin American Regional Forum Speakers Mark Albenze CEO, Siemens Energy Wind Power Division, Americas Business Unit, Orlando Haroldo Espalter Hughes & Hughes, Montevideo Maria-Leticia Ossa-Daza Willkie Farr & Gallagher, New York; Conference Coordinator South America, IBA Corporate and M&A Law Committee Clemente Perez Guerrero Olivos Novoa Errazuriz Abogados, Santiago 1615 – 1630 Coffee/tea break 1630 – 1745 SIMULTANEOUS SESSIONS SESSION SEVEN Structuring private equity and venture capital investments Private equity in Latin America has grown consistently in recent years. Interest in the region is high compared to developed countries, presenting an optimistic picture for the years to come. The industry is maturing rapidly: there are more local funds ready to invest, while foreign investors are changing their role from involvement-free investors seeking cheap multiples, to more committed investors willing to participate actively in the company after the deal is secured. However, there are still many limitations including restricted level of leverage, lack of diversity in the financial products, underdeveloped capital markets and difficulty in exiting. Latin American lawyers are a key factor in bringing the right expertise and the right tools to structure the deals, develop the business and secure effective exit strategies. Session Co-Chairs Eduardo Sanguinetti Carolina Zang Zang Bergel & Viñes Abogados, Buenos Aires; Secretary, IBA Latin American Regional Forum Speakers S Wade Angus Jones Day, New York Pablo Brenner Vice-President, Innovation Globant; Partner, Prosperitas Capital Partners, Montevideo Jaime Herrera Posse Herrera Ruiz, Bogota; Council Member, IBA Legal Practice Division Jaime Mercado Simpson Thacher & Bartlett, São Paulo Jose Antonio Olaechea Estudio Olaechea, Lima; IBA Council Member, Colegio de Abogados de Lima Miguel Tornovsky Pinheiro Neto Advogados, São Paulo Media supporter Thursday 13 March – continued SESSION EIGHT Labour court decisions: a new source of law in civil law countries? In many Latin American countries, the number of labour lawsuits has recorded a substantial growth, which resulted in the birth of the so-called ‘labour lawsuit industry’. This litigation area is characterised by the fact that courts base their decisions on the previous rulings they, or a different court has issued. This increased use of case law represents a major change in civil law countries. This panel will present the latest trends in labour court decisions and will examine whether case law has stepped up to become a new source of law. The panel will also discuss the risks faced by the judicial community as this trend consolidates and the means envisaged for the mitigation of such risks. One significant challenge for governments is the increased scope for illicit use of financial systems, especially for tax evasion. This session will address some of the most relevant ways in which Latin American governments have tried to avoid the abuse of bank secrecy by organised crime, corruption and drug trafficking, through international and local legislation. Session Co-Chairs Estif Aparicio Arias Fabrega & Fabrega, Panama City; Young Lawyers Liaison Officer, IBA Latin American Regional Forum Sonia Velasco Cuatrecasas Gonçalves Pereira, Barcelona; Co-Chair, IBA Taxes Committee Speakers Jonas Bergstein Bergstein Abogados, Montevideo Stuart Berkson DLA Piper, Chicago Cecilia Mairal Marval O’Farrell & Mairal, Buenos Aires; Senior Vice-Chair, IBA Securities Law Committee Patricia Menendez Cambo Greenberg Traurig, Miami; Secretary, IBA Women Lawyers’ Interest Group Raquel Novais Machado Meyer Sendacz e Opice Advogados, São Paulo 1115 – 1130 Coffee/tea break Continued overleaf The recent economic expansion in Latin America has been underpinned by a booming agricultural sector. Topics will include: • How to create a supportive environment for investment in agriculture and related industry; and • How to finance and develop a project in the agricultural sector. Session Co-Chairs Lisandro Allende Claudio Undurraga Prieto y Cia Abogados, Santiago; Advisory Board Representative South America, IBA Power Law Committee Friday 14 March – continued 1130 – 1245 SIMULTANEOUS SESSIONS SESSION ELEVEN How to use social media in times of crisis Law firms are increasingly coming to understand how social media can help them build relationships that could lead to further business. Today, a firm’s online image represents a significant part of its reputation. In fact, a recent survey of US general counsel showed that two-thirds of law firms had checked their LinkedIn accounts in the past day or week. Should law firms also be engaging social media when crisis strikes? Whether it’s a natural disaster such as Hurricane Sandy, a malpractice lawsuit, loss of client data, allegations of discrimination or harassment or a negative news story about the culture of the firm, there are social media tools that can be used effectively to avert a crisis or for crisis management and communication. A panel of experts will share their experiences on how social media can help stop the ‘bleeding’ and can be used to communicate with critical audiences at all stages of a crisis. Session Co-Chairs Arturo Alessandri Cohn Alessandri Attorneys at Law, Santiago; IBA Council Member, Colegio de Abogados de Chile Ramon Moyano Estudio Beccar Varela, Buenos Aires Speakers Manuel Alvarez-Tronge Bartolome & Briones, Madrid Adrian Dayton Author of ‘Social Media for Lawyers’ and Consultant, Amherst Gabriel Kuznietz Demarest Advogados, São Paulo Diego Muñoz Tamayo Muñoz Tamayo & Asociados, Bogota SESSION TWELVE Mining: environmental and social concerns as main challenges in the industry today The mining industry has a long tradition of being considered deeply detrimental towards both the environment and society in general. Recent global surveys confirm that ‘environmental concerns’ (40 per cent) closely followed by ‘social concerns’ (28 per cent) continue to be the top sustainable development issues for the mining industry agenda. This worldwide unease is being addressed by mining companies and governments. This panel will present and review the latest Latin American trends relating to the environmental and social issues faced by the mining industry. It will place special emphasis on the impact of mining on local communities and the long-term relationships needing to be built with each community where individual projects take place. Session Co-Chairs Florencia Heredia HOLT Abogados, Buenos Aires; Senior Vice-Chair, IBA Mining Law Committee Luis Carlos Rodrigo Prado Rodrigo Elias & Medrano Abogados, Lima; Compliance & Special Projects Officer, IBA Latin American Regional Forum 1245 – 1415 Lunch Scholarship announcement Announcers Jack Batievsky Scholarship Luis Carlos Rodrigo Prado Rogelio de la Guardia Scholarship Estif Aparicio 1415 – 1600 PLENARY SESSION Law firms: how not to become a commodity Law firms are probably facing one of their biggest financial challenges in history: the commoditisation of high-end legal services and the reduction in fees that will most likely follow. Questions this session will address include: • How are law firms differentiating themselves from one another? • What are the key elements considered by multinational companies or international law firms to select local counsel? • To what extent are legal fees key to determining which law firm to use? • What happened to trust, reliability and institutional relationships? • Do niche practices, specialisations, personal branding and teamwork make commoditisation impossible? The panel will analyse the current situation and suggest possible solutions. The IBA influences the development of international law reform and shapes the future of the legal profession throughout the world. It has a membership of more than 50,000 individual lawyers and over 200 bar associations and law societies spanning all continents. It has considerable expertise in providing assistance to the global legal community. Grouped into two divisions – the Legal Practice Division and the Public and Professional Interest Division – the IBA covers all practice areas and professional interests, providing members with access to leading experts and up-to-date information. Through the various committees of the divisions, the IBA enables an interchange of information and views among its members as to laws, practices and professional responsibilities relating to the practice of business law around the globe. Additionally, the IBA’s high-quality publications and world-class conferences provide unrivalled professional development and network-building opportunities for international legal practitioners and professional associates. Advert space The IBA’s Bar Issues Commission provides an invaluable forum for IBA member organisations to discuss all matters relating to law at an international level. The IBA’s Human Rights Institute (IBAHRI) works across the Association, to promote, protect and enforce human rights under a just rule of law, and to preserve the independence of the judiciary and the legal profession worldwide. Other institutions established by the IBA include the Southern Africa Litigation Centre and the International Legal Assistance Consortium. The Forum provides a focus for all activities in the region.
