Application of PLUNA LÍNEAS AÉREAS URUGUAYAS SOCIEDAD ANÓNIMA for an exemption pursuant to 49 U.S.C. § 40109 to engage in scheduled foreign air transportation between the United States and Uruguay via a code-share on flights operated by American Airlines ) ) ) ) ) ) ) ) ) ) ) Docket OST-2011-_____ APPLICATION OF PLUNA FOR EXEMPTION AUTHORITY PLUNA Líneas Aéreas Uruguayas Sociedad Anónima (“PLUNA”), the Flag Carrier of Uruguay, applies for an exemption from 49 U.S.C. § 41301 permitting PLUNA to conduct scheduled foreign air transportation of persons, property, and mail to the full extent authorized by the Air Transport Agreement Between the United States and the Oriental Republic of Uruguay (the “Agreement”) pursuant to a code-share agreement with American Airlines under which PLUNA will place its code on flights operated by American between the U.S. and Uruguay. PLUNA requests authority to the extent necessary for it to engage in: Scheduled foreign air transportation of persons, property, and mail between any point in Uruguay via intermediate points to any point or point in the United States and beyond. In support of this application, PLUNA states as follows: 1 PLUNA Application for Exemption Authority October 27, 2011 The applicant’s full name and mailing address is PLUNA Líneas Aéreas 1. Uruguayas Sociedad Anónima, Miraflores 1445, CP 11500 Montevideo, Uruguay. Tel: +598 2 604 2244, Fax: +598 2 604 2260. PLUNA is a corporation organized on August 26, 1994 under the General Corporation Act 16.060. See No 67. Statement. By PLUNA Líneas Aéreas Uruguayas Sociedad Anónima attached as Exhibit A. 2. Homeland Government Authority: The government air transport agency with regulatory authority in Uruguay is Dirección Nacional de Aviación Civil e Infraestructura Aeronáutica (D.I.N.A.C.I.A). Its official address is Avda. Camino de las Industrias Wilson Ferreira Aldunate 5519, Canelones, Uruguay. Tel: +598 26040408, Fax: +598 26040408 extension 4016. 3. Authority Requested: PLUNA requests authority to provide scheduled foreign air transportation of persons, property, and mail from points in Uruguay via intermediate points to a point or points in the United States and beyond. This authority is authorized by Annex 1 to the Agreement which entered into force on June 16, 2006. As noted, and as authorized by Article 8 of the Agreement, all service will be provided via a code-share with the flights operated by American Airlines. The initial code-share service will be between Montevideo and Miami and on flights operated by American or its affiliates behind the Miami gateway. The carriers expect to expand service to other points in the future. 4. Management: the names, addresses, and citizenship of PLUNA’s directors and officers are attached as Exhibit B. There are no blood relationships between any of the officers or key personnel. PLUNA is 75% owned by Sociedad Aeronáutica Oriental S.A. (“SAO”) a Uruguayan corporation and 25% owned by PLUNA Ente Autónomo (“PEA”) PLUNA Application for Exemption Authority October 27, 2011 a Uruguayan public entity (see 6 below). SAO is 100% owned by South American Regional Aviation Holdings (SARAH) which is a Panamanian corporation. SARAH is 100% owned by Latin America Regional Aviation Holding Corporation (LARAH) which is a Panama registered company. Through LARAH, Chorus Aviation, Inc. a publically traded company on the Toronto Stock Exchange, which owns the Canadian airline Jazz, is the ultimate owner of a 24.9% interest in PLUNA. Also, through LARAH, Riverwood Capital LLC, a U.S. private equity firm holds, a 44.5% interest in Pluna. The remaining investors in LARAH each hold less than a 5 percent interest in Pluna. No individual investor in Riverwood holds a 5% or more benefical interest in Pluna. A diagram illustrating PLUNA’s ownership structure is attached as Exhibit C. Modification of the bylaws, dissolution/liquidation of the Company, or a change 5. in the purpose of the Company would require a supra-majority vote of the shareholders including PEA. Except as noted herein, no shareholder with a 5% interest or greater in PLUNA, and none of PLUNA’s officers, directors or managers holds any interest in any U.S. air carrier, any other foreign air carrier, any other entity engaged in the business of aeronautics, or any common carrier or any entity whose principal business is the holding of stock in, or control of, any other air carrier. 6. To the extent necessary, PLUNA requests waiver of the Department’s ownership and control standard. Uruguay does not impose any restrictions on foreign ownership of airlines. The primary test for waiving ownership and control requirements is whether anything in the ownership or control of the Applicant would be “inimical to U.S. aviation policy or interest.” See, Societe Anonyme Belge D’Exploitation De La Navigation Aerienne and Sabena World Airlines, Order 90-3-69 (March 29 1990). It is a well established policy PLUNA Application for Exemption Authority October 27, 2011 that where “two Open Skies countries [are] involved, and where U.S. interests are not otherwise compromised, [the Department is] favorably disposed toward granting ownership and control waivers.”1 Given that the principal owners are the Government of Uruguay and U.S. and Canadian citizens, and U.S. interests are not otherwise compromised by PLUNA’s ownership structure, the Department should find waiver of its citizenship standard to be in the public interest and in accord with Department precedent. See, e.g., Britannia Airlines AB, Order 2002-1-14 (January 31, 2002). 7. As noted above 25% of PLUNA is owned by PEA which is an entity owned by the Government of Uruguay. Two of the members of the Board of PLUNA, currently Fernando Pasadores and Ignacio Berti, are appointed by PEA. PLUNA does not hold any interest in a U.S. or foreign air carrier. PLUNA does have a code-share agreement with American Airlines. 8. Insurance: PLUNA’s insurance coverage exceeds the liability limits and requirements for air carriers set forth in 14 C.F.R., Part 205. A copy of PLUNA’s certificate of insurance is attached as Exhibit D. The name of its insurance carrier is stated on the certificate. 9. Operating Authority: PLUNA holds operating authority issued by the D.I.N.A.C.I.A. A copy of PLUNA’s Air Operator Certificate and Operations Specifications are attached as Exhibit E. 10. Operating History: PLUNA was founded in 1936 as a private enterprise by two Uruguayan brothers, Jorge and Alberto Marquez Vaesa, who received technical and 1 Letter to George U. During its early years, PLUNA mainly transported mail and newspapers and flew passengers from Montevideo to smaller cities in the countryside of Uruguay. For several years, PLUNA focused only on the local Uruguayan market and operated with limited competition. In 1944, the Uruguayan Government acquired 85% of the Company and PLUNA became a mixed public-private company, adding routes to meet local traveler demand. In 1947, PLUNA began international operations by introducing service to Brazil. In 1951, the Uruguayan Government purchased the 15% stake that it did not already own in PLUNA and the Company became nationalized. By the 1960s, PLUNA had become an "ambassador of Uruguay" outside national borders, promoting culture, tourism and commerce, but losing money on unprofitable international routes. Uruguay's military government took control of the airline in the late 1970s, provided funding and using military pilots to fly PLUNA's commercial aircraft. In 1982, PLUNA acquired three new Boeing 737-200s. Facing financial difficulty, in 1995 the Uruguayan Government signed a management contract with, and sold a 49% stake of the Company to, Brazilian-based Varig Linhas Aéreas ("Varig"). Varig increased the size of PLUNA's fleet of three Boeing 737-200s by adding a used Boeing 737-300, Boeing 757 and Boeing 767. PLUNA started offering over 40 weekly flights from Montevideo to different destinations in Brazil and Argentina, and operated three flights to Madrid. A few years after acquiring PLUNA, Varig faced financial troubles caused by increasing oil prices and the effects of the 9/11 terrorist attacks. Varig was forced to enter bankruptcy protection in 2005 and in 2006, and the Uruguayan Government negotiated a PLUNA Application for Exemption Authority October 27, 2011 deal with Varig to regain control over PLUNA. Under the control of the Government of Uruguay, PLUNA received multiple capital injections that helped it stay afloat. In 2007 the government sold a 75% interest in the Company to LAHRA as discussed in paragraph 4. 11. Aircraft: PLUNA’s fleet currently consists of 11 Bombardier CRJ900ER regional jet aircraft, with an average age of less than two years and operates service between Montevideo and: Punta del Este, two destinations in Argentina, one in Chile, one in Paraguay, and nine in Brazil. It also code-shares on flights operated by Iberia between Montevideo and Madrid, with connections to other points in Spain and Frankfurt. As noted above, PLUNA will not operate any of its aircraft to the United. States. All flights will be operated by American Airlines. 12. Maintenance: As noted above, all flights will be conducted by American Airlines. Nevertheless, PLUNA’s maintenance program is approved by D.I.N.A.C.I.A and complies with the provisions of ICAO Pilots and Airmen Annexes 1, 6 (Part I) and 7. Uruguay is a contracting state to the Convention on International Civil Aviation. 13. PLUNA has entered into a code-share Agreement with American Airlines dated September 2, 2011, which is being filed with the Department by American Airlines. Under the Agreement, PLUNA will list its code on American flights between Montevideo and Miami. The two carriers may include additional points in the future. 14. Financial Summary: Financial data summaries [Confidential Treatment Requested Under §302.12], setting forth in U.S. dollars PLUNA’s financial statements are attached as Exhibit F. José Cabrera, PLUNA’s Financial Manager certifies the accuracy of these statements. PLUNA Application for Exemption Authority October 27, 2011 15. Financial Assistance from Homeland Government: PLUNA does not receive any financial assistance from the Government of Uruguay. 16. Traffic and financial results: Estimated traffic and financial results for PLUNA’s first year of code-sharing [Confidential Treatment Requested Under §302.12] are attached as Exhibit G. 17. Traffic violations/accidents: For the last five years PLUNA has not had any safety violation or fatal accidents. 18. Waiver of Warsaw Convention Liability Limits: An executed copy of OST Form 4523 will be filed in Docket OST-1995-236 and is attached as Exhibit H. 19. Family Assistance Plan: Because PLUNA will not be operating any flights, it is not required to adopt a plan pursuant to the Aviation Disaster Family Assistance Act. 20. Passenger Manifest: Because PLUNA will not be operating any flights, it is not required to adopt a plan to comply with Part 243 of the Department’s Economic Regulations 21. Fuel Consumption: Since PLUNA is only providing service on existing flights operated by American Airlines, no additional fuel will be used. Accordingly, grant of PLUNA’s application will not be a “major regulatory action” under the Energy Policy and Conservation Act of 1975, as defined in 14 C.F.R. § 313.4(a)(1). 22. PLUNA will abide by all applicable rules and regulations issued by the Department of Transportation. 23. PLUNA is prepared to supply such additional information or clarifications in connection with its application as the Department may require. 24. Verification: the verification required by 14 C.F.R. § 302.4(b) is attached hereto PLUNA Application for Exemption Authority October 27, 2011 as Exhibit I. As shown by the information provided herein, PLUNA is operationally and financially fit to provide code-share service on flights operated by American Airlines and the existence of the U.S.-Uruguay Open Skies agreement provides a basis for the Department to find grant of PLUNA’s application to be in the public interest. WHEREFORE, for the foregoing reasons PLUNA, Ltd. respectfully requests that the Department issue it an exemption, and such other relief as the Department may deem necessary or appropriate, as more fully described above. Each of the Carriers shall, effective May 16, 1966, include the following in its conditions of carriage, including tariffs embodying conditions of carriage filed by it with any government: "The Carrier shall avail itself of the limitation of liability provided in the Convention for the Unification of Certain Rules Relating to International Carriage by Air signed at Warsaw October 12th, 1929, or provided in the said Convention as amended by the Protocol signed at The Hague September 28th, 1955. However. in accordance with Article 22(1) of said Convention, or said Convention as amended by said Protocol, the Carrier agrees that, as to all international transportation by the Carrier as defined in the said Convention or said Convention as amended by said Protocol, which, according to the contract of Carriage, includes a point in the United States of America as a point of origin, point of destination, or agreed stopping place (1) The limit of liability for each passenger for death, wounding, or other bodily injury shall be the sum of US $75,000 inclusive of legal fees and costs, except that, in case of a claim brought in a State where provision is made for separate award of legal fees and costs, the limit shall be the sum of US $58,000 exclusive of legal fees and costs. (2) The Carrier shall not, with respect to any claim arising out of the death, wounding, or other bodily injury of a passenger, avail itself of any defense under Article 20(1) of said Convention or said Convention as amended by said Protocol. Nothing herein shall be deemed to affect the rights and liabilities of the Carrier with regard to any claim brought by, on behalf of, or in respect of any person who has willfully caused damage which resulted in death, wounding, or other bodily injury of a passenger." 2. Each Carrier shall, at the time of delivery of the ticket, furnish to each passenger whose transportation is governed by the Convention, or the Convention as amended by the Hague Protocol, and by the special contract described in paragraph 1, the following notice, which shall be printed in type at least as large as 10 point modern type and in ink contrasting with the stock on (i) each ticket; (ii) a piece of paper either placed in the ticket envelope with the ticket or attached to the ticket; or (iii) on the ticket envelope: "ADVICE TO INTERNATIONAL PASSENGER ON LIMITATION OF LIABILITY Passengers on a journey involving an ultimate destination or a stop in a country other than the country of origin are advised that the provisions of a treaty known as the Warsaw Convention may be applicable to the entire journey, including any portion entirely within the country of origin or destination. For such passengers on a journey to, from, or with an agreed stopping place in the United States of America, the Convention and special contracts, of carriage embodied in applicable tariffs provide that the liability of ?'L>J:Jr\ t..'.v'a\1 Ac~~ ,.:Q't.-1·;:j,}/\ 71~ ~ "t [certain ]* [(name of carrier) and certain other] carriers parties to such special contracts for death of or personal injury to passengers is limited in most cases to proven damages not to exceed US $75,000 per passenger, and that this liability up to such limit shall not depend on negligence on the part of the carrier. For such passengers traveling by a carrier not a party to such special contracts or on a journey not to, from, or having an agreed stopping place in the United States of America, liability of the carrier for death or personal injury to passengers is limited in most cases to approximately US $10,000 or US $20,000. The names of Carriers parties to such special contracts are available at all ticket offices of such carriers and may be examined on request. Additional protection can usually be obtained by purchasing insurance from a private company. Such insurance is not affected by any limitation of the carrier's liability under the Warsaw Convention or such special contracts of carriage. For further information please consult your airline or insurance company representative." 3. [This Agreement was filed with the Civil Aeronautics Board of the United States. The Board approved it by Order E-23680, adopted May 13, 1966. The Agreement (Agreement 18900) became effective May 16, 1966. On January 1, 1985, this Agreement became the responsibility of the Department of Transportation (DOT) by operation of law.] 4. This Agreement may be signed in any number of counterparts, all of which shall constitute one Agreement. Any Carrier may become a party to this Agreement by signing a counterpart hereof and depositing it with DOT. 5. Any Carrier party hereto may withdraw from this Agreement by giving twelve and the other Carriers parties to the Agreement.
